Business terms and software licence

These terms are for business purchases only.
By ordering Orgma Local, the purchaser confirms that they are acting wholly or mainly for purposes relating to their trade, business, craft or profession. Sole traders and independent consultants purchasing for their work are welcome.

1. The agreement

These terms form the contract between Triton Safety Limited, trading as Orgma, and the business or organisation identified by the purchaser. The order confirmation, plan description and these terms together form the agreement. If an authorised order form signed by both parties conflicts with these terms, the signed order form takes priority.

2. Orgma Local

Orgma Local is Windows software for organising workforce qualification evidence, maintaining training records and highlighting missing or expiring items. It assists authorised users but does not replace competent human review, legal advice, certification checks or the customer's responsibility for health and safety, competence and regulatory decisions.

Results produced by document reading, optical character recognition and rules may contain errors. The customer must review extracted information before relying on it.

3. Subscription and plan limits

The subscription is annual unless the order states otherwise. The selected plan determines the maximum number of active people. Each subscription includes one customer-controlled Windows installation unless the order expressly includes more. Archived or inactive records must not be used to evade the plan limit.

The activation key is issued to the purchasing organisation and is not transferable without our written permission. Internet access may be required periodically to activate or refresh the licence.

4. Software licence

For the paid subscription period, we grant the customer a limited, non-exclusive, non-transferable and revocable licence to install and use Orgma Local internally for its business operations, subject to the purchased plan.

The customer may make reasonable backup copies but must not:

  • sell, sublicense, rent, publish or distribute the software or activation key;
  • share the licence between separate organisations;
  • circumvent activation, capacity or installation controls;
  • reverse engineer, decompile or modify the software except where applicable law expressly permits it; or
  • use Orgma to create a competing product or provide a hosted bureau service without written permission.

5. Customer responsibilities and local data

The customer controls the workforce information stored in Orgma Local. The customer is responsible for lawful collection and use, access permissions, the security of its computers and networks, reliable backups, retention decisions and responding to workers' data rights.

Orgma Local should not be treated as the customer's only copy of legally important evidence. The customer must maintain suitable backups and business-continuity arrangements. We are not responsible for loss caused by device failure, malware, ransomware, accidental deletion, unsupported network-drive use or failure to maintain backups.

6. Prices, VAT and payment

Prices shown for business customers exclude VAT unless expressly stated otherwise. VAT and any other applicable taxes are added at checkout. Payment is processed by Stripe. The customer authorises the stated subscription charges and must keep its billing details current.

7. Renewal and cancellation

The first-year price and renewal price are displayed before checkout. Unless cancelled, the subscription renews automatically for another annual period at the renewal price shown at purchase or at a replacement price notified in advance.

The customer may prevent the next renewal at any time before the renewal payment is taken by using any cancellation facility we provide or emailing support@getorgma.com. To avoid processing delays, please contact us at least five working days before renewal. A cancellation ends access at the end of the already-paid subscription period.

Business subscription payments are non-refundable once the software and activation key have been supplied, except where required by law, where we agree otherwise in writing, or where Orgma materially fails to conform to the agreement and we cannot remedy the failure within a reasonable time.

8. Updates and support

The subscription includes generally released updates for Orgma Local during the paid period. We may change or discontinue features where reasonably necessary for security, law, compatibility or product improvement, provided the product continues substantially to perform its core purpose.

Standard support is provided through support@getorgma.com. We aim to respond promptly during normal UK working days, but no guaranteed response or resolution time applies unless agreed separately in writing.

9. Availability and licence checks

We take reasonable care to keep online activation and subscription services available, but uninterrupted availability is not guaranteed. Planned maintenance, provider outages and events outside our reasonable control may affect access temporarily. Reasonable offline or grace periods may be provided by the application but are not a substitute for an active subscription.

10. Intellectual property

Orgma, its software, designs, documentation and branding remain the property of Triton Safety Limited or its licensors. The customer retains ownership of its records and evidence. No intellectual-property rights transfer except for the limited licence expressly granted by these terms.

11. Confidentiality and data protection

Each party must protect the other's confidential information and use it only for the agreement. Each party is responsible for its own compliance with applicable data protection law. Our handling of website, purchase, activation and support information is described in the Orgma privacy notice.

12. Warranties

We warrant that Orgma Local will substantially perform as described when used on a supported Windows system and that we will provide it with reasonable skill and care. We do not warrant that every document will be read correctly, that the software will identify every compliance issue, or that operation will be uninterrupted or error-free.

13. Liability

Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to that, neither party is liable for indirect or consequential loss. We are not liable for lost profit, revenue, business, contracts, anticipated savings, goodwill, data or evidence, except that this does not exclude direct costs of restoring data where caused by our breach and reasonably avoidable backups were maintained.

Our total aggregate liability arising from the agreement is limited to the fees paid or payable by the customer for Orgma during the twelve months immediately preceding the event giving rise to the claim. The parties agree that this allocation reflects the subscription price and the customer's responsibility to retain backups and independently verify compliance decisions.

14. Suspension and termination

We may suspend activation or terminate the agreement for material breach, non-payment, attempted circumvention, unlawful use or conduct that threatens the security of Orgma, provided we give reasonable notice and an opportunity to remedy where appropriate. On expiry or termination, the software licence ends. The customer remains responsible for exporting or retaining records required for its business.

15. General provisions

The customer may not transfer the agreement without our written consent. We may transfer it as part of a genuine business sale or restructuring. Failure to enforce a term is not a waiver. If a provision is unenforceable, the remainder continues. Neither party is liable for delay caused by events beyond its reasonable control.

16. Governing law

The agreement is governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, unless both parties agree another dispute-resolution process in writing.
